What is Tax Reproration and Why is It So Imprtant to all Commercial Property Transactions?
While real estate law property tax laws (also known as ad valorem taxes) do vary from state to state, the one common element is that real estate taxes are always due after the period to which they relate (e.g., taxes for 2022 are not due until 2023). Every commercial real estate purchase and sale agreement should contain a provision governing the proration of real estate taxes between the parties for pre-closing and post-closing periods – most often referred to as tax reproration clauses or a standalone tax reproration agreement.
